Terms of Service for Daeda AI
Effective Date: 22 August 2026
These Terms of Service (“Terms”) govern your use of Daeda AI (“the App”), a HubSpot-connected platform provided by Daeda Technologies Ltd (“Daeda”, “we”, “us”, or “our”), a company registered in England and Wales under company number 17360943, with its registered office at 167-169 Great Portland Street, Fifth Floor, London, England, W1W 5PF (the “Supplier”). “Daeda Tech” and “Daeda Technologies” are trading references to the Supplier and are not separate contracting entities. Daeda AI includes the Automation Suite, Human-Approved Write Plans, portal audits, troubleshooting, dependency mapping, multi-portal access, and optional connected AI tools.
By accessing or using the App, you agree to these Terms for yourself and, where you use the App for a company or other organisation, for that organisation (the “Customer” or “you”). You confirm that you have authority to bind the Customer. If you do not agree, do not use the App.
Contract documents and corporate transfer
A signed order form or negotiated agreement takes priority over these Terms. The DPA takes priority only for Customer Personal Data processing. Checkout, Stripe subscription, invoice, and plan terms take priority for product, price, quantity, and billing-period details. A privacy policy describes processing practices and does not amend commercial terms.
Under a written business-transfer and assignment agreement, Daeda AI agreements originally entered into with Daeda Technologies Pte. Ltd. automatically transfer to Daeda Technologies Ltd with effect from 6 September 2026 to the extent that the original agreement and applicable law permit assignment or transfer without further Customer consent. From that date, Daeda Technologies Ltd is the supplier and contracting party under each transferred agreement. This paragraph does not override a signed order form or negotiated agreement that prohibits transfer, requires consent or novation, identifies another contracting entity, or specifies a different effective date. Where such a requirement applies, the agreement remains with Daeda Technologies Pte. Ltd. until it is satisfied. Customers may contact contact@daeda.tech to confirm their contracting entity.
1. Compliance with HubSpot Terms
By using Daeda AI, you agree to adhere to HubSpot’s Terms of Service and all applicable laws and regulations. Violations of HubSpot’s policies or these Terms may result in suspension or termination of your access to the App.
2. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms, except where applicable law requires otherwise.
3. Permissible Use
You must not use the App for unlawful, harmful, or unauthorized purposes. Prohibited activities include, but are not limited to:
- Violating local, national, or international laws or regulations.
- Attempting to gain unauthorized access to systems or data.
- Interfering with the performance or integrity of Daeda AI or related infrastructure.
- Using Daeda AI to access, change, export, or process HubSpot data without proper authorization.
- Using connected AI tools in a way that violates the terms or policies of the relevant third-party provider.
4. Data Collection and Privacy
We collect and process only the data required to operate, secure, support, and bill for the App, such as your email address, HubSpot Portal ID, account state, selected HubSpot access settings, connection metadata, synced portal context, portal mirror data, export artifacts, and Write Plan records. Where Daeda processes personal data on the Customer’s behalf, the Daeda AI Data Processing Agreement (“DPA”) forms part of these Terms when accepted or otherwise agreed by the parties. The DPA controls in the event of a conflict concerning that processing.
You can purge Daeda AI database data from Daeda AI settings inside HubSpot where available or by contacting us at contact@daeda.tech.
5. Integration with Third-Party Services
Daeda AI relies on HubSpot and may use Supabase for application data, Hetzner for hosting, Stripe for billing, and the AI provider selected and connected by the Customer. Operational alerts are designed not to include Customer Personal Data or customer-linked identifiers. While we strive for reliable operation, we cannot guarantee the availability or performance of HubSpot, third-party APIs, infrastructure, models, or connected AI providers.
6. Pricing, Subscriptions, Trials, and Refunds
Daeda AI may be offered through paid subscriptions, free trials, usage limits, portal allowances, user allowances, or add-on pricing.
Subscriptions: Paid subscriptions are billed monthly and renew automatically each month until cancelled, unless the checkout, invoice, or signed order form clearly states a different billing period. Pricing is based on the plan, portal count, user count, and feature access shown at purchase or in the App. You authorise Daeda and its payment processor to charge the payment method on file for recurring fees and other amounts due.
Trials: Free trials are subject to the eligibility, duration, and usage limits shown in Daeda AI. A trial converts to a paid subscription only where the checkout or purchase flow clearly discloses before enrolment that it will convert automatically, the conversion date, the price, and the billing period. Otherwise, access ends or requires a separate purchase when the trial expires.
Cancellations and Downgrades: Cancellation takes effect at the end of the current billing period unless a signed order form states otherwise. Downgrading or cancelling your subscription may affect access to Daeda AI features, connected portals, Write Plans, synced data, or AI-powered functionality.
Taxes and Refunds: Prices are exclusive of applicable taxes unless the checkout, invoice, or order form expressly states otherwise. Fees already paid are non-refundable and cancellation does not produce a prorated refund or credit, except where required by applicable law or expressly stated in a signed order form or checkout term.
7. Service Availability and Liability
While we strive for high availability, Daeda AI is provided “as is.” We are not liable for data loss, service interruptions, HubSpot API changes, third-party provider outages, third-party model outputs, or damages resulting from use of the App.
8. HubSpot API and Platform Changes
Daeda AI depends on HubSpot APIs, permissions, scopes, workflow behavior, CRM object support, and account features. If HubSpot changes or restricts these capabilities, Daeda AI functionality may change, degrade, or become unavailable. We will work to restore compatibility where practical and notify users of major disruptions.
9. Responsible Use
You agree to use Daeda AI responsibly and not to misuse it in any way that could harm users, systems, data, HubSpot portals, connected AI providers, or third parties.
You are responsible for the prompts, instructions, data, access settings, and approvals you provide through Daeda AI and connected AI tools.
10. Authorization for HubSpot Access
By using Daeda AI, you confirm that you are authorized to connect each HubSpot portal and grant access to the selected data types and scopes.
Users are responsible for selecting the HubSpot access scopes, data types, and connected portals made available to Daeda AI in settings. Daeda AI may operate on contacts, companies, deals, tickets, lists, workflows, forms, owners, associations, custom objects, and other supported HubSpot assets depending on the access granted and HubSpot availability.
Daeda AI may use HubSpot exports, HubSpot APIs, and supplementary exports to build and refresh mirrored portal data on Daeda AI infrastructure. Current access selection is object-level, so users can allow or deny whole object types such as contacts, companies, deals, tickets, or custom objects.
To change the HubSpot object permissions available to Daeda AI, users can uninstall Daeda AI from the portal, reinstall it with the revised access selection, and rebuild the connected portal from Daeda AI settings.
11. Human-Approved Write Plans
Daeda AI can help draft plans for workflows, properties, lists, records, associations, views, forms, reports, and other supported operations.
Write Plans are drafts or suggestions until reviewed and approved in Daeda AI inside HubSpot. You are responsible for reviewing plan operations, warnings, validation results, scope gaps, expected changes, and affected resources before approving execution.
Daeda AI is not responsible for user-approved changes, incorrect instructions, misconfigured HubSpot permissions, unexpected HubSpot behavior, or consequences of executing approved plans.
12. AI Features and Connected AI Tools
Optional connected AI tools and MCP-compatible clients are governed by these Terms and by the applicable terms and privacy policies of the connected provider. When you enable a connected AI tool, that tool connects to Daeda AI and may use authorized Daeda AI context and draft-plan tools according to the access you grant.
Daeda AI does not guarantee the accuracy, completeness, legality, or suitability of third-party model outputs. You are responsible for reviewing AI-generated outputs before using them in your HubSpot portal or business process.
13. Support and Feature Requests
Support: We aim to respond to support requests within five business days.
Feature Requests: We welcome feature suggestions. Implemented features may be provided at no cost or may incur a fee, depending on scope. All implemented features become the property of Daeda Technologies Ltd.
14. Updates and Notifications
We may update Daeda AI, change features, adjust usage limits, or modify these Terms as the App evolves. We will notify users of major updates, feature changes, or policy adjustments via email or in-product notice where appropriate.
15. Suspension and Termination
Violation of these Terms may result in suspension or termination of access to Daeda AI. If your HubSpot account, Daeda AI workspace, subscription, or connected provider access is suspended, your access to some or all App features may also be restricted.
16. Data Retention and Deletion
You can purge Daeda AI database data from Daeda AI settings inside HubSpot where available or by contacting us at contact@daeda.tech. Some data may be retained where required for legal, regulatory, contractual, billing, security, or fraud-prevention obligations. For full details, please refer to our Privacy Policy.
Deleting Daeda AI data is separate from changing HubSpot object permissions. Object permission changes are handled by uninstalling Daeda AI, reinstalling it with the selected access, and rebuilding the connected portal from Daeda AI settings.
17. Dispute Resolution
If you encounter an issue, please contact us first. If unresolved, disputes will be handled in accordance with section 2.
18. Ownership of Outputs
You retain ownership of your HubSpot data and the outputs generated through your use of Daeda AI, subject to any rights or restrictions that apply under HubSpot, connected AI providers, or other third-party services.
You are responsible for reviewing and approving outputs before using them in your HubSpot portal or business process.
